Company Secretary Trainee
Role Overview
The CS Trainee will work closely with the Company Secretary and the legal team to support day-to-day secretarial, compliance, and documentation work across the Company's corporate, real estate, and tender-related functions. This is a hands-on role suited to someone who wants practical exposure to both classic company secretarial practice and applied commercial/real estate law.
Key Responsibilities
Meetings: Prepare notices, agendas, attendance sheets and draft minutes for Board, Committee and General Meetings. Circulate minutes and follow up on signing.
Resolutions and certified copies: Draft board and shareholder resolutions and prepare certified true copies for banks, lenders and other authorities.
Statutory registers and records: Maintain registers, minute books and director/KMP records, and keep them up to date.
- Director disclosures
- Collect and track Forms MBP-1, DIR-8 and other annual declarations from directors.
ROC/MCA filings: Assist with preparing and filing event-based and annual forms (e.g., AOC-4, MGT-7, DIR-12, DPT-3, MSME-1, DIR-3 KYC) and follow up on SRNs and challans.
Charge filings: Support creation, modification and satisfaction of charges (CHG-1, CHG-4, CHG-9). Coordinate with banks on sanction letters and security documents.
- Compliance tracking
- Maintain a compliance calendar with due dates and send reminders to the team.
Audit and certification support: Help with secretarial audit, internal compliance checks and information requests from auditors.
- Coordination
- Liaise with Management, finance, legal, banks, auditors and the Registrar of Companies.
Research: Keep track of amendments in the Companies Act, rules, circulars and MCA notifications, NSE, BSE circulars and flag the relevant ones.
Please Note That Candidate will get Exposure of Pre and Post Listing compliances of a Listed entity as Well.
Required Qualifications
The candidate shall have cleared his /her Professional Examination.
Basic working knowledge of the Companies Act, 2013 and Secretarial Standards.
Proficiency in MS Word, Excel and PDF tools. Familiarity with the MCA V3 portal is an advantage.
Skills & Attributes
Strong drafting and proofreading skills, with close attention to detail (consistency of defined terms, figures, dates, and cross-references across documents).
Good written and spoken English; comfort working with formal legal/corporate language.
Organised and process-oriented, able to track multiple documents and pending items simultaneously.
Willingness to learn practical, transaction-driven secretarial work rather than purely academic compliance.
Basic proficiency in MS Word/Excel; familiarity with MCA e-filing portals is a plus.
What the Trainee Will Gain

Hands-on experience with charge creation/modification filings (Form CHG-1) and the underlying loan/security documentation.
Exposure to real estate transaction documentation (lease deeds, CAM agreements) from a compliance and consistency-review perspective.
Experience supporting tender and consortium bid documentation for public-sector/railway projects.
Direct mentorship from the Company Secretary and legal team on applied corporate and commercial law.
